PLEASE READ ALL OF THE FOLLOWING TERMS OF SERVICE BEFORE USING THIS SITE. By accessing or using this site, or any service on it, you signify YOUR ACCEPTANCE OF THESE TERMS, INCLUDING WITHOUT LIMITATION THE ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER IN SECTION 16.

These Terms of Service (the “Terms” or “Agreement”) are entered into by the authorized user (“You”) and Exposure Tape [ entity to be formed ], and govern your use of exposuretape.com (the “Site”) and the information services, documents, content, data, functions, and features accessible on or through the Site (the “Products”). By using the Site or any Product you agree to be bound by this Agreement and the Privacy Policy, which is incorporated by reference.

We may change this Agreement at any time in our sole discretion. Revisions are effective upon posting, and we will update the “Last updated” date above. If you do not agree to a change, your sole remedy is to stop using the Site. Your continued use after a change signifies acceptance. Exposure Tape is launching as a free, invite-only beta — the payment, trial, and refund provisions take effect when paid plans are enabled.

1. Payment and Account

You agree to pay all fees associated with your account in consideration for access to the Products. For paid plans, your initial payment occurs at registration and recurring payments are charged thereafter. You represent that all information you provide is accurate, current, and complete. We may change fees or institute new charges upon thirty (30) days’ notice; existing subscribers continue at their current rate through the end of their billing period.

Free trial. Paid plans may include a no-card free trial (currently Starter 14 days, Pro 14 days, Edge 7 days). You are entitled to one (1) free trial. If you attempt to create multiple trials, the trial will be removed from the additional account(s) and converted to a standard paid account, and any attempt to circumvent this may result in suspension without notice. Because trials are no-card, you are not charged automatically; to continue after the trial you must choose a plan and provide payment.

Refunds. Exposure Tape provides non-tangible digital goods and services delivered with immediate access; all sales are final and payments are non-refundable, as set out in our Refund Policy. Canceling stops future recurring charges but does not refund the current or any prior period.

Account security. You are responsible for your account and for keeping your credentials confidential, and you agree not to share access to your account or password. To comply with our market-data provider agreements, our systems check for simultaneous logins from multiple locations; if detected, the account may be auto-locked for a minimum of twenty-four (24) hours.

Personal use; no redistribution. You agree to use the Products solely for your own personal or internal company use. You will not copy, modify, reproduce, republish, distribute, transmit, resell, or exploit the Products for any commercial purpose. You will not use automated systems to extract data from the Site, nor scrape or extract data for use in any external application including but not limited to Discord, Slack, and X (Twitter). Violation results in termination without notice and no refund.

LEGAL ACTION WILL BE TAKEN WHERE DEEMED APPROPRIATE IF IT IS FOUND THAT YOU ARE REDISTRIBUTING OR RESELLING THE INFORMATION ON THE SITE.

2. Market Data; Professional and Non-Professional Subscribers

Market data, analytics, and related information provided through the Products are sourced from third-party providers, exchanges, licensors, and vendors, and are subject to their terms and limitations. Depending on your plan, data may be delayed (Starter plans run on 15-minute-delayed data) or real-time (Pro and Edge plans). Access may be delayed, modified, restricted, suspended, or terminated at any time if required by Exposure Tape, a provider, an exchange, a licensor, a vendor, or applicable law.

Certain real-time data may require you to certify whether you are a Professional or Non-Professional Subscriber under applicable exchange or data-provider rules. A “Non-Professional Subscriber” generally means an individual who accesses real-time data solely for personal, non-commercial use and not on behalf of any firm, adviser, broker-dealer, or institution. You agree to provide accurate classification information, to notify us promptly if your status changes, and to complete any additional certifications required by an exchange or vendor. Fees may differ by classification, and you are responsible for any additional fees resulting from an incorrect or outdated classification.

You may not redistribute, resell, sublicense, publish, broadcast, transfer, display, scrape, or bulk-download any market data except as expressly permitted by Exposure Tape and the applicable provider. We do not guarantee the accuracy, completeness, timeliness, or uninterrupted delivery of any data, which may contain errors, delays, or omissions; you are solely responsible for decisions made based on it.

3. Prohibited Use

You agree not to:

  • Use the Site in any way that could disable, overburden, damage, or impair it, or interfere with any other party’s use, including their ability to engage in real-time activities.
  • Use any robot, spider, scraper, or other automatic device to access the Site for any purpose, including monitoring or copying material.
  • Make direct requests to our servers, endpoints, or internal APIs outside their intended use as exposed by the official web interface.
  • Send a high volume of automated or manual requests intended to rapidly access data, bypass our front-end, or degrade our servers.
  • Use bots, scripts, scrapers, or proxies to bypass, circumvent, or interfere with rate limits, access controls, or security measures.
  • Introduce viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, its servers, or connected systems.
  • Attack the Site via a denial-of-service or distributed denial-of-service attack.

4. Proprietary Rights

This Site and all of its contents are copyrighted. With an active subscription, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Products for personal or internal company use only. All rights not expressly granted are reserved by Exposure Tape. The trademarks, service marks, brand names, and logos on the Site are owned by Exposure Tape and others; nothing grants any license to use them without express written permission.

Except for the limited license granted here, all right, title, and interest in the Site and Products (including trademarks, copyrights, and other intellectual property), in all languages, formats, and media worldwide, are and remain the exclusive property of Exposure Tape and/or its content partners. You will not decompile, reverse engineer, disassemble, scrape, rent, lease, loan, sublicense, or create derivative works from the Products or Site.

5. Community, Chat, and User Submissions

If and when Exposure Tape offers a community, chat, or comment feature, any material you submit — questions, comments, suggestions, ideas, or postings — is not confidential (subject to the Privacy Policy), and you grant Exposure Tape a perpetual, irrevocable, royalty-free license to use, reproduce, distribute, and publish it. Do not submit confidential or personal financial information. You agree not to solicit other users, promote competing services, or share external premium data. We may moderate, remove, or restrict content and revoke chat access at our discretion.

6. API Access

If and when Exposure Tape offers programmatic API access, any such access would be granted under a limited, non-exclusive, non-transferable, revocable license for personal, internal use only, subject to rate and concurrency limits, with no redistribution of data, no reverse engineering, no credential sharing, and no competing use. Professional or redistribution use would require a separate written enterprise license.

7. Privacy

Your use of the Site is governed by our Privacy Policy, incorporated by reference. By using the Site you consent to the collection and use of information as described there.

8. Investment Disclaimer

Exposure Tape provides general information and analytics for educational and informational purposes only. Exposure Tape is not registered as a securities broker-dealer or investment adviser with the U.S. Securities and Exchange Commission or any state regulatory authority, and does not manage client assets. Nothing provided through the Site is a recommendation, solicitation, or offer to buy or sell any security, or investment, tax, accounting, or legal advice. There is a high degree of risk in trading stocks and options; you could lose some, all, or more than your investment. Past results are not indicative of future returns. We encourage you to do your own research and consult a qualified adviser before investing. Any investment decision you make based on information from the Site is your sole responsibility.

9. Hypothetical Performance Disclosure

Hypothetical or simulated performance results have inherent limitations. No representation is made that any account will or is likely to achieve profits or losses similar to those shown. Hypothetical results are prepared with hindsight, do not involve financial risk, and cannot fully account for the impact of real financial risk on actual trading. There are frequently sharp differences between hypothetical results and actual results.

10. Disclaimer of Warranties

Your use of the Site, Products, and Content is at your sole risk. The Site, Products, and Content are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or timeliness. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that files available for download will be free of viruses or harmful code. You are responsible for your own anti-virus protection and for maintaining external backups of any data.

11. Limitation of Liability

In no event will Exposure Tape or its affiliates, partners, members, managers, directors, officers, employees, or agents be liable to you or any third person for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits or lost data, arising from your use of the Products, even if advised of the possibility. The total liability of Exposure Tape and the foregoing parties for any cause whatsoever will at all times be limited to the amount you paid to Exposure Tape in the twelve (12) months immediately preceding the event giving rise to the claim, and in no case will exceed $1,000. If no fees were paid in the preceding 12 months, you are limited to injunctive relief only. Certain jurisdictions do not allow these limitations; if they apply to you, some may not apply and you may have additional rights.

12. Indemnification

You agree to indemnify, defend, and hold harmless Exposure Tape and its officers, directors, members, employees, affiliates, licensors, information providers, and service providers from and against any claims, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (i) your use or misuse of the Products, (ii) your violation of this Agreement, or (iii) your infringement or violation of any third-party rights or applicable law.

13. Geographic Restrictions

Exposure Tape is based in the United States and provides the Site for use by persons located in the United States. We make no claim that the Site or its content is appropriate or available outside the United States. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

15. Termination

We reserve the right to refuse service, and to suspend or terminate your access at our sole discretion, at any time, without prior notice or liability, for any reason, including breach of this Agreement. Upon termination your right to use the Site ceases immediately. Provisions that by their nature should survive termination — including ownership, warranty disclaimers, indemnity, limitations of liability, and dispute-resolution — survive.

16. Governing Law, Arbitration, and Class-Action Waiver

This Agreement is governed by the laws of the State of [ State ] without regard to its conflict-of-laws provisions. In the event of a dispute, either party may elect to resolve it by binding individual arbitration instead of in court.

IF EITHER PARTY CHOOSES ARBITRATION, NEITHER PARTY WILL HAVE THE RIGHT TO LITIGATE IN COURT OR HAVE A JURY TRIAL, AND DISCOVERY AND APPEAL RIGHTS ARE LIMITED. ARBITRATION MUST PROCEED ON AN INDIVIDUAL BASIS — NO CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTIONS.

The Arbitration Agreement is governed by the Federal Arbitration Act. Arbitration will proceed with the AAA or JAMS under their rules, before a single arbitrator, in [ venue ]. If more than $100,000 is genuinely in dispute, either party may appeal to a three-arbitrator panel within 30 days. Any award may be enforced in any court with jurisdiction.

17. Limitation on Time to File a Claim

Any cause of action or claim arising out of or relating to this Agreement, the purchase of any Products, or the Site must be commenced within one (1) year after the cause of action accrues; otherwise it is permanently barred.

18. Force Majeure

Exposure Tape will not be liable or deemed in breach for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, flood, fire, earthquake, governmental action, war, terrorism, civil unrest, epidemic, labor disputes, carrier or supply delays, or telecommunication or power failures.

19. DMCA

If you believe content on the Site infringes your copyright, notify our designated agent at [ dmca@ contact ] with the information required by the Digital Millennium Copyright Act, including identification of the work, the infringing material, your contact information, a good-faith statement, and a signed statement under penalty of perjury.

20. Age Restriction

You must be at least 18 years old to use the Services. Exposure Tape is a financial product intended for adults.

21. Taxes

You are solely responsible for any taxes, charges, or assessments (other than taxes on Exposure Tape’s income) relating to your use of the Products, including any applicable sales tax on subscription fees, which we may collect and remit as required.

22. Miscellaneous

If any provision is found unenforceable or invalid, it will be limited or eliminated to the minimum extent necessary and the rest remains in effect. This Agreement is not assignable by you without our prior written consent; we may assign our rights and obligations without consent. This Agreement, the Privacy Policy, and the Refund Policy are the complete and exclusive statement of the agreement between the parties and supersede all prior communications. No waiver is effective unless in writing. In any action to enforce this Agreement, the prevailing party is entitled to recover reasonable attorneys’ fees and costs. Notices will be in writing and deemed given when received; you consent to notice by email.
